EQT-led bidder plans a cash offer

QIAGEN, a diagnostics company, signed a business combination agreement with an EQT-led bidder planning a cash offer of 46.50 euros per share. The announcement on October 21 covers all outstanding ordinary shares. EQT intends to acquire the company through a takeover vehicle.[1], [2]

The bidder, Crown NL Bidco, is indirectly controlled by the EQT XI private equity fund. The agreement values QIAGEN at approximately 10.8 billion euros including debt. The offer carries a 40.3 percent premium to the July 8 closing price, before reports of takeover interest.[1]

Shareholder acceptance and approvals remain conditions

The minimum acceptance threshold is 50 percent of outstanding share capital plus one share. QIAGEN’s transaction also requires shareholder resolutions, merger-control clearance and foreign-investment approvals. QIAGEN’s supervisory and managing boards unanimously approved the agreement. The company expects completion in mid-2027, subject to the transaction conditions. A formal board recommendation follows publication of the offer document.[1]

QIAGEN suspends its annual outlook

QIAGEN released preliminary third-quarter sales of 548 million dollars and adjusted diluted earnings per share of 0.65 dollars. It suspended its annual outlook while the transaction is pending. Planned measures after completion include full ownership by the bidder and an end to the Frankfurt and New York listings. The company said its name and brand would remain.[1]
