CoreWeave prices 3.7 billion dollars of 2033 convertibles
CoreWeave priced an upsized $3.7 billion private sale of 2.875 per cent convertible senior notes due 2033, up from $3.0 billion, with settlement scheduled for 22 September and a $500 million buyer option. The investor note puts last Class A at $79.88 on 17 September and an initial conversion price near $97.85. Pulse 2.0 reports the same coupon, size, settlement date and conversion premium. About $498.8 million is earmarked for capped calls.

The private sale was raised from 3.0 billion dollars to 3.7 billion dollars of 2.875 per cent convertible senior notes due 2033, CoreWeave said. Class A shares last sold at 79.88 dollars on 17 September; CoreWeave puts the initial conversion price at about 97.85 dollars a share and the cap price at 199.70 dollars. About 498.8 million dollars would fund capped-call transactions. Pulse 2.0 says that 97.85 dollar conversion price is a 22.5 per cent premium to the 79.88 dollar close.[1], [2]
Net proceeds, 144A
CoreWeave estimates net proceeds of about 3,644.5 million dollars, or 4,137.0 million dollars if the option is exercised in full. Interest is payable twice a year from 1 April 2027. The notes were offered to qualified institutional buyers under Rule 144A. Pulse 2.0 says net proceeds are about 3.64 billion dollars after discounts, before expenses.
