FedEx-Advent clears 89.8 per cent of InPost

A consortium led by FedEx and Advent International tendered 89.8 per cent of InPost by the 18 September deadline, clearing the 80 per cent floor on a 7.8 billion euro offer at 15.60 euros a share, Transport Topics reported, citing Bloomberg. Pulse2, also citing Bloomberg, gives 89.81 per cent tendered. After settlement FedEx and Advent each hold 37 per cent of the vehicle, A&R 16 per cent and PPF 10 per cent. A 23 September unconditional call and an Amsterdam delisting remain ahead.

The 80 per cent floor broke

Transport Topics, citing Bloomberg News, said the company stated that 89.8 per cent of InPost shares were tendered by the 18 September deadline, clearing the 80 per cent minimum. The cash offer is 15.60 euros a share, about 7.8 billion euros or 8.9 billion dollars. Pulse2, by Amit Chowdhry, citing Bloomberg, says about 89.8 per cent, and separately 89.81 per cent, were tendered by that deadline at 15.60 euros for the 7.8 billion euro offer.[1], [2]

Consortium stakes after settlement

After completion FedEx and Advent will each hold 37 per cent of the consortium; Rafał Brzoska's A&R Investments will own 16 per cent and PPF 10 per cent, Transport Topics says. Pulse2 repeats those four stakes and says Brzoska is expected to remain chief executive, with InPost keeping its brand and Poland headquarters.[1], [2]

23 September still matters

The consortium will say by 23 September whether it declares the offer unconditional, Transport Topics reports. The 15.60 euro price is a 50 per cent premium to the 2 January close. A delisting from Euronext Amsterdam is planned. Pulse2 also cites Bloomberg for the tender result.
