AWC approves conditional transfer of four hotels and The Empire office to AWR

Asset World Corp's board approved a conditional plan to transfer five Thai properties to the AWR trust: four hotels and The Empire office project. The proposed transfer has a combined minimum price of 48,449 million baht. Further conditions and approvals still apply, so the board decision has not completed the deal. The company also agreed to subscribe for up to 28% of the trust's units.

Four hotels and an office enter the transfer plan

Asset World Corp (AWC), a Thai property group, approved a plan to transfer five properties to the AWR property trust. The assets are four hotels—Banyan Tree Koh Samui, Banyan Tree Krabi, Melia Koh Samui and Pattaya Marriott Resort and Spa—plus The Empire office project. The board's decision sets out a proposed transaction. The transfer remains subject to further conditions and approvals, so ownership has not yet changed under this approval alone.[1], [2]

The proposed minimum is 48,449 million baht

The five-property package carries a combined minimum price of 48,449 million baht. AWC also agreed to subscribe for up to 28% of the trust's units, retaining a stake in the vehicle that would hold the properties. The deal includes a leaseback arrangement. Together with that leaseback, the transaction's size stays below 25% of AWC's total assets.[1]

Nine more properties need separate approval

AWC plans to set up two subsidiaries, AWC Hotel Property and AWC Commercial Property Manager, within September 2026 as part of the arrangement. Its board also noted nine other properties for later study. Any transfer involving that second group would require a separate approval. The current decision covers only the four named hotels and The Empire office project.[1]
