FleetPartners agrees SG Fleet takeover at 5.30 Australian dollars a share

FleetPartners has signed a binding agreement for SG Fleet to acquire all its shares for cash. The board supports the deal subject to conditions, including an independent expert’s continuing approval. The price stands above the level before the initial approach, while dividends paid before implementation would reduce the cash payment. Shareholder, court and regulatory approvals remain necessary; implementation is expected in March 2027, subject to conditions.

SG Fleet signs for all ordinary shares

FleetPartners, which manages vehicle fleets and provides leasing and employee vehicle finance in Australia and New Zealand, signed a binding takeover agreement with SG Fleet Management on 19 October. The cash consideration is 5.30 Australian dollars per ordinary share. SG Fleet is controlled by funds managed or advised by Pacific Equity Partners. The proposal covers all FleetPartners ordinary shares through a court-approved scheme.[1], [2]

Dividends will reduce the cash consideration

The price for FleetPartners is 87.3 per cent above the 2.83 Australian dollar closing price on 31 July, before the initial unsolicited approach. Dividends paid before implementation reduce the consideration. The deed permits a final financial-year 2026 dividend of up to 14 cents and a special dividend of up to 12 cents per share, with both decisions left to the board.[1]

Approvals govern the March timetable

The board unanimously recommends the scheme if no superior proposal emerges and the independent expert continues to find it in shareholders’ best interests. Financing and due diligence are not conditions. Shareholder and court approvals and foreign-investment and competition clearances in Australia and New Zealand remain necessary. The expected timetable places the booklet in December, a shareholder meeting in February 2027 and implementation in March 2027, subject to conditions.[1]
