Shareholders are offered cash for Braze

Salesforce, the customer-relationship software group, signed an agreement to acquire Braze, a provider of software that manages companies’ communication with customers. The transaction has an enterprise value of about 5.66 billion dollars. Braze shareholders are offered 47.50 dollars per share in cash.[1], [2]

Customer messages span several channels

Braze serves approximately 2,770 customers. Its platform coordinates communication through applications, websites, email, text messages and WhatsApp. It uses real-time event data alongside customer profiles to support decisions about message content, offers, delivery channels and timing. Braze co-founders Bill Magnuson and Jon Hyman hold chief executive and technology leadership roles.[1]

Salesforce plans to combine Braze’s capabilities with its Customer 360, Data 360, Agentforce and marketing products. The company says the combination would help marketers personalise their contact with customers across channels. The proposed combination remains subject to the transaction’s completion.[1]

Completion awaits shareholder and regulatory approvals

The companies expect completion during Salesforce’s fiscal 2028, subject to Braze shareholder approval, regulatory clearances and customary conditions. Salesforce retained its fiscal 2027 financial outlook and did not update long-term targets. JPMorgan advises the buyer financially, while Qatalyst Partners advises Braze. Legal advisers are Wachtell and Covington for Salesforce and Davis Polk for Braze.[1]
