The interval between the first and final hall
At TeraWulf’s Kentucky campus, the first delivered data hall starts rent, while the final hall starts the corresponding Google backstop. The company’s November 4 filing places those events at different contractual milestones. Anthropic pays rent as individual halls are delivered; Google’s support becomes effective when the last hall under each lease commences. Across 20-year leases covering approximately 401 MW, the delivery schedule therefore has two distinct cash consequences. For the financing analysis, the interval between those milestones is the useful starting point.[1]
Change just one assumption: the completion date of the final hall. If earlier halls have been delivered but the last hall is delayed, the earlier rent obligations have already begun while the contractual trigger for Google’s support remains unmet. My reading is that sharing tenant-payment risk leaves a separate sensitivity to construction completion. A tighter delivery sequence offers the reasonable countercase: halls commencing close together could leave only a short interval. The filing gives no hall-by-hall dates from which to quantify that interval.[1]
TeraWulf says phased delivery is expected to begin in late 2027 and conclude in the second quarter of 2028. That is the company’s delivery expectation, rather than rent already collected. For a provider of capital, the sequence of deliveries contains information beyond the aggregate capacity figure. The first delivery starts a rent obligation; the final delivery under the corresponding lease completes the second trigger. Those separate milestones provide a concrete way to assess project completion and tenant payment without collapsing them into one assumption.[1]
What default cash can carry with it
Once support is effective, a payment default still has more than one contractual outcome. Following notice from Raylan, Google can pay rent currently due and take over as tenant. Under certain circumstances it can pay a termination fee instead, gaining the right to acquire an equity interest in Raylan. If Google defers its election for the specified period, it pays unpaid rent and additional rent falling due during that period. The route by which cash arrives consequently matters to the existing owners’ equity position as well as to payment continuity.[1]
The termination fee also amortizes over a defined period. The support can terminate after Anthropic, or an affiliate guaranteeing the lease, maintains the specified investment-grade ratings for at least three months. Its economic content therefore changes with time and the tenant’s credit standing. Extending the initial support label across the entire lease term at an unchanged scope would overlook both provisions. Each of the three disclosed support agreements is tied to the commencement trigger of its corresponding lease.[1]
The financing significance lies in the stage at which risk changes hands. Rent, completion of the final hall, the default remedies and a possible equity interest belong to the same economic chain. For a TeraWulf shareholder, the announcement means a facility must reach the contractual milestone before support begins, and a termination payment can come with an ownership right attached. My valuation question is how the delivery sequence aligns those thresholds. That is the contract’s consequential sensitivity, even without assigning a price to the shares.[1]
