EQT signs for Stockbridge’s management business
Swedish investment group EQT agreed on October 15 to acquire Stockbridge, a US real-estate investment manager headquartered in San Francisco. Base consideration is 375 million dollars in cash, with up to 175 million dollars in additional payments. The agreement covers the entire management company and the general-partner entities controlling interests in Stockbridge’s funds.[1], [2], [3]
Stockbridge has approximately 16.5 billion dollars in fee-generating assets under management and about 27 billion dollars in gross asset value. Founded in 2003, the company employs roughly 185 professionals across six US offices and serves about 180 institutional clients. Its property strategies include industrial facilities, industrial outdoor storage and alternative housing, including manufactured homes.[1], [3]
Extra payments depend on new fundraising
EQT plans to fund the base price from its balance sheet on a cash- and debt-free basis. Additional consideration during 2027–2030 depends on targets for raising fee-paying commitments for new products. The buyer will also be entitled to invest in 35 per cent of the carried interest, the performance-linked share of fund profits, in future Stockbridge funds under its existing policies.[1], [3]
Senior management shareholders committed to reinvest half their base cash proceeds in EQT shares bought in the market. Restrictions on selling those shares expire in stages in 2029, 2030 and 2031. A portion of performance-linked consideration is also to be reinvested under similar arrangements. EQT expects completion in the first quarter of 2027, subject to customary conditions including investor consents.[1], [3]
Property teams enter different EQT businesses
Stockbridge’s diversified and alternative property strategies are to operate as a dedicated business line within EQT Real Estate, the group’s property investment arm. Industrial activities are to join its existing industrial platform. Existing fund names will remain, while leadership and investment teams will largely stay in place. Open-ended core property strategies are to operate independently within the wider network. EQT Real Estate was established in 2021 after the group bought Exeter Property Group for 1.9 billion dollars, and has doubled in size since then.[1], [2], [3]
Stockbridge chief executive Terry Fancher is to become vice chair of EQT Real Estate, reporting to global head Henry Steinberg. Finance chief Kristin Renaudin is to become global chief financial officer, and Tuba Malinowski is to lead US diversified real estate.[1]
