Spire Healthcare accepts consortium's 1.03 billion pound offer

Spire Healthcare accepted a 250-pence-a-share cash offer from a consortium backed by Toscafund, Three Hills and Ares. The 1.03 billion pound deal carries a 66 per cent premium to its 13 May value, with support committed for 53.4 per cent of the shares.

Board accepts the cash offer

Spire Healthcare's board accepted a cash acquisition offer from a consortium comprising Toscafund, Three Hills and Ares. Made through Tulip UK Bidco, the offer provides 250 pence a share and values Spire at about 1.03 billion pounds. The price carries a 66 per cent premium to the company's market value on 13 May. Both reports describe the same board agreement, buyer group, share price and valuation.[1], [2]

Support covers 53.4 per cent of shares

Shareholders representing 53.4 per cent of the stock committed to support the offer. After a comprehensive strategic review, the board concluded that 250 pence a share was the highest proposal received and the best available outcome for shareholders. Its assessment cited macroeconomic volatility and material cost pressure from higher national insurance contributions and minimum-wage increases. City AM reported that the consortium was the only party to submit a formal proposal at a level the board considered sufficiently attractive.[1], [2]

Leadership changes accompany the deal

Chief executive Justin Ash and chair Sir Ian Cheshire are stepping down. Sir David Sloman will become interim chief executive and Debbie White interim chair. Spire operates 38 private hospitals and 55 clinics in the United Kingdom and treated more than 1.36 million patients in 2025. The sale will transfer ownership of the London-listed private hospital group to the bidding consortium while two interim appointments reshape its leadership.[2]
